User Agreement


This User Agreement (the "Agreement") is a legal contract between you ("User") and CreateDraft.com ("CreateDraft", "we", "us", or "our") governing your access to and use of the CreateDraft.com website, its content, applications, and any related services provided by CreateDraft (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement. If you do not agree to this Agreement, do not use the Services.

1. User Registration

1.1. To access certain Services, you must register for an account with CreateDraft ("Account") by providing complete and accurate information. You are responsible for maintaining the confidentiality of your Account information, including your password, and for all activity that occurs under your Account.

1.2. You agree to immediately notify CreateDraft if you become aware of any unauthorized use of your Account or any other breach of security. CreateDraft will not be liable for any loss or damage arising from your failure to protect your Account information.

2. Acceptable Use

2.1. You agree to use the Services only for purposes that are permitted by this Agreement and in compliance with all applicable laws, regulations, and generally accepted practices in the United States.

2.2. You agree not to use the Services in any manner that could damage, disable, overburden, or impair any CreateDraft server or interfere with any other party's use and enjoyment of the Services.

2.3. You agree not to engage in any activity that would constitute a violation of this Agreement, copyright infringement, or other violations of any applicable law, regulation, or the rights of any third party.

3. Content Policies


3.1. You are solely responsible for any content you submit, post, or display ("User Content") through the Services. By submitting, posting, or displaying User Content, you grant CreateDraft a worldwide, non-exclusive, royalty-free, sublicenseable, and transferable license to use, reproduce, modify, adapt, distribute, display, and perform the User Content in connection with the Services.

3.2. You represent and warrant that: (a) you own or have the necessary rights and permissions to use and authorize CreateDraft to use all copyright, trademark, or other proprietary rights in and to your User Content, and (b) your User Content does not infringe, misappropriate, or violate any third-party rights, including, but not limited to, any privacy rights, publicity rights, copyrights, trademarks, or any other intellectual property rights.

3.3. CreateDraft reserves the right, but has no obligation, to monitor, review, or remove any User Content, in its sole discretion, and to suspend or terminate your access to the Services for any reason, including, but not limited to, a violation of this Agreement.

4. Dispute Resolution

4.1. Any dispute, claim, or controversy arising out of or in connection with this Agreement, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved through binding arbitration, to be administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

4.2. The arbitration shall take place in the United States, and the parties shall endeavor to agree upon the location. If the parties cannot agree on a location, the arbitrator(s) shall determine the location. The language of the arbitration shall be English.

4.3. The prevailing party in any arbitration or other proceeding arising under this Agreement shall be entitled to an award of its reasonable attorney's fees and costs.

5. Governing Law

This Agreement and any disputes arising out of or related hereto shall be governed by and construed in accordance with the laws of the United States, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than those of the United States.

6. Amendments

CreateDraft reserves the right, at its sole discretion, to modify or replace this Agreement at any time. The most current version of this Agreement will be posted on the CreateDraft.com website. You are responsible for reviewing any changes and your continued use of the Services after any such changes constitutes your acceptance of the new Agreement.

7. Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, conversations, discussions, and agreements between them relating to the Services. If any provision of this Agreement is invalid, illegal, or unenforceable, such provision shall be construed to the minimum extent necessary to render it valid, legal, and enforceable, and the remainder of this Agreement shall remain in full force and effect.
