ARTIST MANAGEMENT AGREEMENT


This Artist Management Agreement ("Agreement") is entered into on [Effective Date], by and between Sophie Michaels ("Artist") and Harmony Talent Management LLC ("Manager"), collectively referred to as the "Parties."

1. Engagement and Services

1.1. Engagement


Artist hereby engages Manager as their exclusive representative and manager in all aspects of Artist's career in the entertainment industry, and Manager hereby accepts such engagement under the terms and conditions set forth herein.



1.2. Manager Services


Manager shall advise, counsel and assist Artist in the reasonable selection of engagements, employment, contracts, and other business opportunities and shall provide direction, promotion, and coordination of Artist's career and screen, radio, television, advertising, merchandising, and public relations activities.



2. Term

This Agreement shall commence on the Effective Date and continue in force for a term of three (3) years, subject to the termination provisions contained herein ("Term").



3. Management Fees

3.1. Fee Percentage


As full compensation for the Manager's services, Artist shall pay Manager a sum equal to fifteen percent (15%) of the Gross Income derived by Artist as a result of the Manager's activities on behalf of the Artist during the Term.



3.2. Definition of Gross Income


For the purposes of this Agreement, "Gross Income" shall mean the aggregate of all monetary and other forms of compensation and considerations payable to or received by Artist (including, but not limited to, advances, royalties, merchandising income, endorsement income, and appearance fees) less taxes, documented and reasonable business expenses, and commissions to other professionals such as agents or attorneys, which directly relate to income-producing activities of Artist.



3.3. Payment Schedule


Manager shall submit invoices to Artist on a monthly basis, and Artist shall remit payment to Manager within thirty (30) days of receipt of invoice. Late payments shall be subject to an interest rate of 1.5% per month or the maximum rate allowed by law, whichever is less.



4. Promotional Efforts

4.1. Manager's Responsibilities


Manager shall be responsible for using their best efforts to develop, promote and advance Artist's career, including but not limited to, obtaining engagements, publicity, recording contracts, advertising, and public relations. Manager shall actively promote Artist to various industry professionals and provide introductions and networking opportunities to assist in furthering Artist's career.



4.2. Expenditures


Artist acknowledges that Manager may occasionally incur reasonable out-of-pocket expenses in promoting Artist's career. As such, Artist agrees to reimburse Manager for such reasonable and documented promotional expenses incurred on Artist's behalf, provided that Manager obtains written approval from Artist prior to incurring any such expense in excess of $500.



5. Artist Obligations

5.1. Cooperation and Communication


Artist shall use their best efforts to advance their career, keep Manager informed of all activities and progress in their career, and consult with Manager before making any decisions regarding Artist's career. Artist shall make themselves available for engagements, interviews, performances, promotional appearances, and professional commitments as reasonably advised by Manager and as agreed upon by the Parties.



5.2. Indemnification


Artist shall at all times indemnify and hold Manager harmless from and against any and all claims, liabilities, losses, and expenses arising out of any harmful, libelous or slanderous statements made by Artist or the Artist's actions which adversely affect the reputation of Manager.



6. Termination

This Agreement may be terminated by either Party upon written notice if the other Party breaches any material term or condition of this Agreement, provided that the breaching Party has been given thirty (30) days written notice, wherein they have failed to cure said breach.



7. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of [State], without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved through binding arbitration conducted in the State of [State] under the Commercial Arbitration Rules of the American Arbitration Association.



8. Entire Agreement

This Agreement contains the entire understanding of the Parties related to the subject matter herein and supersedes all prior and contemporaneous agreements, representations and understandings, either oral or written.



9. Amendments

This Agreement may be amended only by a written document signed by both Parties.
