CELEBRITY APPEARANCE AGREEMENT

This Celebrity Appearance Agreement (the "Agreement") is entered into as of this [DATE], by and between [EVENT ORGANIZER NAME], a [STATE] corporation with its principal place of business located at [ADDRESS] (the "Organizer"), and Olivia Sterling, a professional artist residing at [ADDRESS] ("Artist"). Organizer and Artist may be referred to in this Agreement individually as a "Party" and collectively as the "Parties."

WHEREAS, Organizer is hosting the Starstruck Gala 2023 (the "Event") and desires to engage the Artist for a special appearance at the Event; and

WHEREAS, Artist accepts the engagement subject to the terms and conditions set forth in this Agreement;

1. ENGAGEMENT AND SERVICES

1.1. Scope of Services

During the term of this Agreement, Artist shall make a special appearance at the Event on [DATE] at [TIME] and at [VENUE] (the "Services"). The Services shall include Artist's participation in promotional activities related to the Event as set forth in Section 3 below.

2. COMPENSATION

2.1. Appearance Fee

As consideration for the Services, Organizer shall pay Artist an appearance fee of [APPEARANCE FEE] (the "Fee"). Organizer shall pay the Fee to Artist within thirty (30) days following the completion of the Services.

3. PROMOTIONAL ACTIVITIES

3.1. Promotional Materials

Artist grants Organizer the limited right during the term of this Agreement to use Artist's name, image, and likeness for promotional and informational purposes related to the Event. Organizer shall submit all promotional materials containing the Artist's name, image, or likeness to the Artist for approval, which shall not be unreasonably withheld.

3.2. Press Events

The Artist agrees to participate in up to two (2) press events or interviews arranged by the Organizer in connection with the Event, provided that the Organizer gives the Artist reasonable advance notice, and the Artist's availability is confirmed.

4. TRAVEL AND ACCOMMODATIONS

4.1. Travel Arrangements

The Organizer shall, at its sole expense, make all necessary travel arrangements for the Artist to attend the Event, including round-trip first-class airfare and ground transportation between the Artist's residence and the Event venue. The Organizer shall submit all travel arrangements to the Artist for approval, which shall not be unreasonably withheld.

4.2. Accommodations

The Organizer shall, at its sole expense, book and pay for a deluxe hotel suite for the Artist for a minimum of two (2) nights in close proximity to the Event venue. The Organizer shall submit details of the hotel accommodations to the Artist for approval, which shall not be unreasonably withheld.

5. EXCLUSIVITY

5.1. Exclusivity during Event

During the term of this Agreement, Artist agrees not to make any other appearances within a 50-mile radius of the Event venue, except for promotional activities related to the Event as set forth in Section 3, unless such appearance is approved in writing by the Organizer.

6. WARRANTIES AND REPRESENTATIONS

6.1. Authority to Enter Into Agreement

Each Party represents and warrants to the other Party that it has full power, authority, and right to perform its obligations under this Agreement and has not entered into any other agreement that would conflict with its obligations under this Agreement.

7. INDEMNIFICATION

Both Parties agree to indemnify, defend, and hold harmless the other Party, its officers, agents, employees, and representatives, from and against any and all claims, demands, actions, costs, expenses, losses, damages, and liabilities, including reasonable attorneys' fees, arising out of or in connection with any breach or alleged breach of this Agreement.

8. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed under the laws of the United States and the laws of the State of [STATE], without regard to conflicts of law principles. Any action or proceeding arising out of or relating to this Agreement shall be brought only in the state or federal courts located in [STATE], and each Party submits to the jurisdiction of such courts for the purpose of any such action or proceeding.

9. ENTIRE AGREEMENT; AMENDMENT

This Agreement contains the entire understanding of the Parties with respect to the subject matter hereof, and supersedes all prior agreements, oral or written. This Agreement may not be amended, except in writing signed by both Parties.

10. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. The Parties agree that a signed copy of this Agreement transmitted by electronic means shall be treated as an original for all purposes, including without limitation for purposes of proof that an agreement was, in fact, signed by the Party.
