EMPLOYMENT AGREEMENT

This Employment Agreement (the "Agreement") is made and entered into as of [DATE], by and between Acme, Inc., a [STATE OF INCORPORATION] corporation ("Company"), and John Doe ("Employee").

1. EMPLOYMENT
The Company hereby agrees to employ the Employee, and the Employee hereby accepts such employment, on the terms and conditions set forth in this Agreement.

2. POSITION AND DUTIES

5. TERMINATION
(a) At-Will Employment: The employment of the Employee is at-will, which means that either the Employee or the Company may terminate the Employee's employment at any time, with or without cause, and with or without prior notice.
(b) Termination for Cause: The Company may terminate the Employee's employment for "Cause" at any time, without prior notice. "Cause" shall include, but is not limited to: (i) the Employee's willful and continued failure to perform his/her duties; (ii) the Employee's engagement in dishonesty, illegal conduct, or gross misconduct; or (iii) the Employee's breach of any material term of this Agreement.

6. CONFIDENTIALITY AND NON-COMPETITION
The Employee agrees to keep confidential all proprietary and confidential information of the Company both during and after the term of the employment and shall not, without the Company's prior written consent, use or disclose such information for any purpose other than the Company's business. The Employee further agrees that, during the term of employment and for a period of [TIME PERIOD] thereafter, he/she shall not, directly or indirectly, compete with the Company or render services to any person or organization engaged in any business that is competitive with the Company.

7. GOVERNING LAW AND DISPUTES
This Agreement shall be governed by and construed in accordance with the laws of the state of [STATE], without regard to its conflicts of laws principles.
