This Employment Agreement (the "Agreement") is made and entered into as of [DATE], by and between Acme, Inc., a [STATE OF INCORPORATION] corporation ("Company"), and John Doe ("Employee").

The Company hereby agrees to employ the Employee, and the Employee hereby accepts such employment, on the terms and conditions set forth in this Agreement.

The Employee shall serve as a [POSITION TITLE] and shall be responsible for performing duties as assigned by the Company. The Employee shall report directly to the [SUPERVISOR TITLE]. The Employee agrees to devote his/her full working time, attention, and efforts to the Company's business and shall not, without the prior written consent of the Company, engage in any other business activity that would interfere with the Employee's performance of his/her duties hereunder.

(a) Base Salary: The Employee shall be paid an annual base salary of $[SALARY AMOUNT] (the "Base Salary"), payable in equal installments in accordance with the Company's normal payroll practices. The Base Salary shall be subject to review and adjustment from time to time by the Company in its sole discretion.
(b) Bonus: The Employee shall be eligible to participate in the Company's annual bonus plan as implemented and modified by the Company from time to time, provided the Employee meets the performance criteria established by the Company.

The Employee shall be entitled to participate in all employee benefit plans, programs, and arrangements made available to similarly situated employees of the Company, subject to the terms and eligibility requirements of such plans, and as may be amended from time to time by the Company in its sole discretion.

(a) At-Will Employment: The employment of the Employee is at-will, which means that either the Employee or the Company may terminate the Employee's employment at any time, with or without cause, and with or without prior notice.
(b) Termination for Cause: The Company may terminate the Employee's employment for "Cause" at any time, without prior notice. "Cause" shall include, but is not limited to: (i) the Employee's willful and continued failure to perform his/her duties; (ii) the Employee's engagement in dishonesty, illegal conduct, or gross misconduct; or (iii) the Employee's breach of any material term of this Agreement.

The Employee agrees to keep confidential all proprietary and confidential information of the Company both during and after the term of the employment and shall not, without the Company's prior written consent, use or disclose such information for any purpose other than the Company's business. The Employee further agrees that, during the term of employment and for a period of [TIME PERIOD] thereafter, he/she shall not, directly or indirectly, compete with the Company or render services to any person or organization engaged in any business that is competitive with the Company.

This Agreement shall be governed by and construed in accordance with the laws of the state of [STATE], without regard to its conflicts of laws principles. Any dispute or claim arising out of, or in connection with, this Agreement or the employment relationship between the Employee and the Company shall be resolved by arbitration, administered by the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties relating hereto.
