1. License Grant

1.1. Limited License


SecureNetGuard Pro, LLC ("Licensor") hereby grants you ("Licensee") a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the SecureNetGuard Pro software ("Software") on a single compatible device, subject to the terms and conditions set forth in this EULA.



1.2. License Restrictions


The Licensee shall not: (a) modify, adapt, translate, or create derivative works based on the Software; (b) decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code for the Software; (c) remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in the Software; (d) assign, sublicense, rent, lease, loan, or otherwise transfer the Software or any rights or obligations under this EULA; or (e) use the Software for any purpose other than its intended use.



2. User Obligations

2.1. Compliance with Laws


Licensee shall be solely responsible for ensuring their use of the Software complies with all applicable laws, including, without limitation, all international, federal, state, and local laws, regulations, and ordinances related to data protection, privacy, and intellectual property rights.



2.2. User Account


Licensee shall create and manage a user account in order to access and use the Software. Licensee is solely responsible for maintaining the confidentiality of the user account credentials, for all activities that occur under their account, and for promptly notifying the Licensor of any unauthorized use or other security breach.



3. Intellectual Property Rights

The Software is owned and copyrighted by the Licensor or its third-party licensors. The Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein, even if the Licensor makes changes or modifications to the Software at the request or direction of the Licensee.



4. Support and Maintenance

4.1. Support Services


The Licensor may provide Licensee with technical support related to the installation and use of the Software, at its sole discretion. Support services may be provided via email, telephone, or other means as determined by the Licensor.



4.2. Software Updates


The Licensor may, in its sole discretion, provide periodic updates, upgrades, or bug fixes for the Software. The Licensor shall have no obligation to provide Licensee with any such updates, upgrades, or fixes.



5. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSEE ASSUMES THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.



6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR, ITS LICENSEES, OR AUTHORISED DISTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, EXEMPLARY, OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES) ARISING OUT OF OR RELATED TO THE LICENSEE'S USE OF OR INABILITY TO USE THE SOFTWARE, HOWEVER CAUSED, AND REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE LICENSOR'S AGGREGATE LIABILITY TO LICENSEE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE EXCEED THE AMOUNT LICENSEE PAID FOR THE SOFTWARE.



7. Termination

This EULA shall remain in effect until terminated by either party. The Licensee may terminate this EULA at any time by ceasing use of the Software and deleting all copies of the Software from their device. The Licensor may terminate this EULA if the Licensee breaches any of the terms and conditions contained herein. Upon termination, all rights granted to Licensee under this EULA shall immediately cease, and Licensee shall promptly delete all copies of the Software.



8. Governing Law and Jurisdiction

This EULA shall be governed by, and construed in accordance with, the laws of the United States, without regard to its conflict of law principles. Licensee agrees that any dispute arising under or relating to this EULA shall be resolved exclusively in the courts of the United States, and Licensee hereby consents to personal jurisdiction in such courts for the purpose of resolving any such dispute.



9. Entire Agreement

This EULA constitutes the entire agreement between Licensor and Licensee and supersedes all prior or contemporaneous understandings or communications, whether oral or written, relating to the subject matter hereof.



10. Amendment and Waiver

No amendment, modification, or waiver of any provision of this EULA shall be effective unless in writing and signed by both the Licensor and Licensee. Any waiver by either party of a breach of any provision of this EULA shall not constitute a waiver of any subsequent breach of the same or any other provision.



11. Severability

If any provision of this EULA is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remainder of this EULA shall remain in full force and effect and be construed so as to best give effect to the original intent of the parties.
