This Event Planning Agreement ("Agreement") is entered into as of _______ ("Effective Date") by and between Elite Events Creations ("Planner") and Sarah Davis ("Client"), for the planning and coordination of the Enchanted Garden Gala ("Event"). This Agreement shall be governed and construed in accordance with the laws of the United States.

1. Event Details

1.1. Description


The Event is an Enchanted Garden Gala. The purpose of the Event is to celebrate and bring together friends and family. The event decorations and overall theme shall be designed to create an enchanted garden atmosphere.



1.2. Date, Time & Location


The Event is scheduled for __________, located at __________. The Event shall begin at ______ and end at ______. Setup will be allowed starting at ______ on the day of the Event. Any changes to the specified date, time, or location must be agreed upon in writing by both the Planner and Client.



2. Budget

2.1. Financial Limitations


The Client agrees to comply with a budget of $________ ("Budget") for the planning, organization, and execution of the Event. The Budget shall be allocated according to the following categories:

2.2. Potential Budget Changes

3. Responsibilities

3.1. Planner's Responsibilities


The Planner shall:
a. Develop and present to the Client all plans, proposals, and recommendations regarding the Event's theme, location, decorations, and entertainment;
b. Coordinate with third-party vendors to secure the Event date, location, catering, and entertainment;
c. Supervise the setup, execution, and breakdown of the Event;
d. Ensure adherence to the Budget, time constraints, and laws/regulations governing the Event; and
e. Perform any other tasks reasonably necessary for the successful planning and execution of the Event.



3.2. Client's Responsibilities


The Client shall:
a. Provide all necessary and accurate information relating to the Event to the Planner;
b. Promptly review and provide feedback on the Planner's plans, proposals, and recommendations;
c. Promptly remit all payments due to the Planner in accordance with the Payment Terms detailed in Section 4;
d. Ensure that guests comply with the Event's rules, policies, and procedures, and safeguard the event venue's integrity; and
e. Perform any other tasks reasonably necessary for the successful planning and execution of the Event.



4. Payment Terms

4.1. Deposit


The Client shall pay a non-refundable deposit of $________ upon signing this Agreement. The deposit shall be applied towards the Planner's services for organizing the Event. The Deposit is not an additional fee and shall be credited against the outstanding balance of the event Budget.



4.2. Remaining Balance


The Client shall pay the remaining balance of the Budget in two equal installments. The first installment is due ________ days before the Event, and the second installment is due on or before the day of the Event.



4.3. Late Payments


Any late payments shall be subject to a ______% late fee on the outstanding balance. Additionally, if payment is not received within ________ days after the due date, the Planner may, without prejudice to their rights and remedies, suspend work on the Event or terminate this Agreement in accordance with Section 5.



5. Termination

5.1. Termination by Mutual Agreement


Either party may terminate this Agreement by providing written notice to the other party if both parties mutually agree to terminate the Agreement. In such an event, the parties shall negotiate in good faith to reach equitable terms for such termination, including, but not limited to, payment of fees, costs, and expenses already incurred by the Planner.



5.2. Termination for Cause


Either party may terminate this Agreement with immediate effect upon written notice if the other party (a) breaches any material term or condition of this Agreement and fails to remedy such breach within ________ days after receipt of written notice, or (b) becomes insolvent, is declared bankrupt, or ceases to do business.



6. Limitation of Liability

The Planner's liability for any claim(s) arising out of or relating to the services provided under this Agreement shall be limited to the fees received by the Planner for the specific service at issue, and in no event shall the Planner be liable for any special, indirect, incidental, or consequential damages, including, but not limited to, loss of revenue, profits, or business opportunities.



7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflicts of laws principles. The parties hereby submit to the exclusive jurisdiction of the courts of the United States for any disputes arising out of or relating to this Agreement.



8. Entire Agreement

This Agreement constitutes the entire understanding and agreement between the parties hereto with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written, relating to such subject matter.
