1. Purpose of Agreement

The purpose of this Agreement is to establish the terms and conditions under which the Parties shall collaborate on the promotion, marketing, and organization of an event, further identified under this Agreement, hereinafter referred to as the "Event".

2. Event Details

2.1. Description of the Event

3. Promotional Activities and Responsibilities

3.1. Techwiz's Responsibilities

Techwiz shall, at its own cost and expense, undertake the following promotional activities for the Event: (a) design and print promotional materials, such as brochures, flyers, posters, and other related material; (b) set up and management of the Event website; (c) create and manage email marketing campaigns; (d) develop and implement social media promotions and campaigns; (e) advertising in relevant trade publications and websites; and (f) any other promotional activities mutually agreed upon between the Parties.

3.2. NewAge's Responsibilities

NewAge shall, at its own cost and expense, undertake the following promotional activities for the Event: (a) secure sponsorships and exhibitors for the Event; (b) identify, invite, and confirm event speakers and presenters; (c) provide content for promotional materials, the Event website, and email marketing campaigns; (d) assist in social media promotions and campaigns; (e) set up and manage ticket sales and registrations for the Event; and (f) any other promotional activities mutually agreed upon between the Parties.

4. Revenue Sharing

The Parties agree on the following revenue-sharing arrangements for the Event: (a) 50% of the net ticket sales revenue shall be allocated to Techwiz; (b) 50% of the net ticket sales revenue shall be allocated to NewAge; (c) any revenue from sponsorships, exhibitors, or any other sources mutually agreed upon by the Parties shall be shared equally between Techwiz and NewAge, on a 50%/50% basis, unless otherwise agreed in writing by the Parties.

5. Term and Termination

5.1. Term

This Agreement shall take effect as of the Effective Date and shall continue until the completion of the Event, unless terminated prior to such time pursuant to the provisions of this Section 5.

5.2. Termination for Breach

Either Party may terminate this Agreement in the event the other Party breaches any material term of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice thereof.

6. Governing Law and Dispute Resolution

6.1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

6.2. Arbitration

Any dispute, controversy, or claim arising out of, or in connection with, this Agreement, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration administered by the International Chamber of Commerce (ICC) in accordance with its Rules of Arbitration. The arbitral tribunal shall consist of three (3) arbitrators. The governing law of the arbitration shall be the substantive law of the United States of America. The place of arbitration shall be [Insert city and state in the United States]. The language of the arbitration shall be English.

7. Confidentiality

Each Party shall maintain in strict confidence all non-public information, whether written or verbal, disclosed or made available to it by the other Party or its representatives, related to the Event, the other Party's business, or this Agreement. Either Party may disclose the other Party's confidential information only to its employees, agents, or representatives who need to know such information for purposes of performing its obligations under this Agreement and who are bound by a duty of confidentiality not less protective than the terms set forth in this Section 7.
