Event Security Agreement An Event Security Agreement formalizes security arrangements for events, specifying security services, responsibilities, access control, and emergency procedures to ensure the safety of event attendees.
1.1. Security Personnel
The Provider shall provide security personnel (the "Security Personnel") for the SafeHarbor Music Festival (the "Event") as agreed upon by both parties in the Order Confirmation to adequately monitor and ensure the safety and security of the Event premises, attendees, and Client's staff during the Event. Security Personnel shall be appropriately trained, qualified, and licensed under applicable United States federal, state, and local laws, regulations, and standards.
1.2. Security Equipment
The Provider shall furnish and utilize appropriate security equipment, including, but not limited to, surveillance cameras, metal detectors, communication devices, and access control systems to ensure the seamless provision of security services at the Event. The Provider shall ensure all equipment is maintained, tested, and complies with safety standards established by the United States federal, state, and local laws and regulations.
2.1. Provider's Responsibilities
The Provider shall provide comprehensive security services that include crowd control, patrol, access control, emergency response, incident reporting, and any other reasonable security-related duties requested by the Client in writing. The Provider shall perform these services in a diligent, professional, and competent manner.
2.2. Client's Responsibilities
The Client shall provide the Provider with any necessary information, access, and assistance required to perform the security services effectively. The Client shall promptly notify the Provider of any changes in the Event details, schedule, or other relevant circumstances that may impact the provision of security services.
Perimeter control must be maintained by the Provider, ensuring that the Event codes of conduct are strictly adhered to, and unauthorized individuals are prevented from entering. The Provider shall ensure proper access control measures are in place for various levels of access, including, but not limited to, general attendees, VIP guests, staff, contractors, and emergency personnel. Additionally, the Provider shall implement a robust lost and found system to reunite attendees with their belongings.
4.1. Emergency and Evacuation Plans
The Provider shall coordinate with the Client and local emergency services in developing comprehensive emergency and evacuation plans. Such plans shall be regularly reviewed and updated by the Provider to ensure the safety and security of all individuals on the Event premises.
4.2. Emergency Response
In the event of an emergency, the Provider shall be responsible for initiating the appropriate emergency response. This includes, but is not limited to, evacuating attendees and staff, coordinating with emergency services, securing the premises, and providing the necessary assistance in managing the situation. The Provider shall document all emergency response actions taken and promptly provide a copy of the incident report to the Client.
5.1. Term
This Agreement shall commence upon the Effective Date and remain in force for the duration of the Event, including the setup and breakdown process, unless terminated earlier by either party in accordance with the Termination provisions set forth below.
5.2. Termination
Either party may terminate this Agreement upon written notice to the other party, if the other party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice thereof.
Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party, including, but not limited to, trade secrets, Event strategies, layouts, gift bag contents, attendee information, and other Event-related information. The Provider shall ensure that all Security Personnel are bound by and adhere to confidentiality obligations of this Agreement.
Each party agrees to indemnify, defend, and hold harmless the other party, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, and expenses, including attorneys' fees and court costs, arising out of or resulting from the negligent or intentional acts or omissions of the indemnifying party or its employees or agents in connection with the Event or the performance of its obligations under this Agreement.
The Provider shall, at its sole expense, maintain throughout the term of this Agreement, comprehensive general liability insurance, including premises and operations liability coverage, with an insurance carrier licensed to do business in the United States, and having a minimum "A-" rating by A.M. Best, providing coverage for personal injury liability and property damage liability. Such insurance policy shall have minimum coverage of $1,000,000 per occurrence and $2,000,000 in the aggregate.
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of [State], without giving effect to principles of conflict of laws. Any disputes or differences arising out of or in connection with this Agreement shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect.
This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings and agreements, whether written or oral, relating to the subject matter hereof. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to enforce and compel strict compliance with every provision of this Agreement.
