Event Sponsorship Activation Agreement for TECH EXPO 2023

1. Parties

This Event Sponsorship Activation Agreement (the "Agreement") is entered into as of [Insert Date], by and between [Insert Sponsor's Name] ("Sponsor") and [Insert Organizer's Name] ("Organizer"), (hereinafter referred to individually as a "Party" and collectively as the "Parties").

2. Sponsorship Terms

2.1. Sponsorship Level

2.2. Sponsorship Fee

3.2. Activation of Sponsorship Benefits

The specific activation methods for Sponsorship-level benefits shall be mutually agreed upon by the Parties and performed by [Insert Date].

4. Promotional Efforts

4.1. Joint Marketing and Promotional Efforts

Subject to applicable law, the Parties agree to collaborate on various marketing and promotional efforts leading up to and during the Event, including but not limited to:

1. Public announcements, press releases, and acknowledgement of Sponsor in official Event materials
2. Sponsor's placement of logos and other branding materials in promotional materials and on Event signage
3. Promotion of Sponsor through Event's social media channels

4.2. Approval of Promotional Materials

Each Party shall have the right to approve in writing any use of its name, logo, or other identifying marks in connection with the Event before any such use occurs. Any such approval shall not be unreasonably withheld or delayed.

5. Benefits to Sponsor

5.1. Provision of Benefits

Organizer shall provide to Sponsor the benefits outlined in Exhibit A, subject to the terms and conditions of this Agreement. Benefits shall include, but are not limited to, advertising and promotion, speaking opportunities, and product or service promotion.

5.2. Right to Terminate or Modify Sponsorship Benefits

Organizer reserves the right to terminate, modify, or suspend any benefits in its sole discretion, upon written notice to Sponsor, if Organizer determines that any such benefit is or may be in violation of applicable law, or if any element of performance by Sponsor is not in accordance with the terms and conditions of this Agreement.

6. Representations and Warranties

Each Party represents and warrants that it has the full power and authority to enter into and perform this Agreement and to grant the rights and licenses granted herein.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the United States, excluding its conflicts of law principles. Any disputes arising under or in connection with this Agreement shall be subject to binding arbitration under the rules of the American Arbitration Association, before a single arbitrator in [Insert City and State].

8. Miscellaneous

This Agreement, including any exhibits hereto, constitutes the entire understanding of the Parties with respect to the subject matter hereof, and supersedes any and all prior or contemporaneous agreements, understandings, or representations, whether oral or written, concerning the subject matter hereof. This Agreement may be amended, modified, or supplemented only by a written instrument executed by both Parties.
