LEASE AMENDMENT AGREEMENT

1. PARTIES

This Lease Amendment Agreement (the "Agreement"), dated________________("Effective Date"), is made by and between Richard Thompson ("Landlord") and Jennifer Martinez ("Tenant") (collectively, the "Parties").

2. RECITALS

WHEREAS, the Parties entered into a lease agreement dated _____ ("Original Lease Agreement") for the lease of certain real property commonly known as ______________________, and legally described in Exhibit A attached hereto (the "Premises");

WHEREAS, the Parties now wish to amend certain terms and conditions of the Original Lease Agreement as stated herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereto agree as follows:

3. AMENDMENTS TO ORIGINAL LEASE AGREEMENT

3.1. Rent

As of the Effective Date of this Agreement, the Tenant shall pay the Landlord the rent for the Premises as follows: $________ per month (the "Amended Rent"), payable in advance, on or before the commencement date of each month. The Amended Rent shall be due and payable without offset, demand or deduction and shall be sent to the Landlord's address as provided in the Original Lease Agreement or such other address as the Landlord may designate in writing.

3.2. Lease Duration

The term of the Original Lease Agreement, which started on _______, hereby is extended for an additional __________ months/years commencing on __________, ending on __________ (the "Amended Term"), subject to earlier termination as provided in the Original Lease Agreement, as amended by this Agreement. All other provisions of the Original Lease Agreement regarding the term, including but not limited to any renewal, termination, or holdover provisions, shall remain in full force and effect.

4. RATIFICATION OF ORIGINAL LEASE AGREEMENT

Except as otherwise modified in writing by this Agreement, all terms, conditions, and provisions of the Original Lease Agreement are hereby ratified and affirmed by the Parties and shall remain in full force and effect through the Amended Term; provided, however, that in case of any conflict between the terms and conditions of the Original Lease Agreement and this Agreement, the terms and conditions of this Agreement shall govern and control. The Parties hereby acknowledge and warrant that they have performed all obligations required to be performed, to the best of their knowledge, as of the date of this Agreement, under the Original Lease Agreement.

5. GOVERNING LAW

This Agreement and any disputes arising out of or in connection with this Agreement shall be governed by, construed and enforced in accordance with the laws of the United States of America and the state in which the Premises are located, without regard to its conflicts of law provisions.

6. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be considered as valid signatures as of the date hereof.

7. ENTIRE AGREEMENT

This Agreement, including Exhibit A, and together with the Original Lease Agreement as amended by this Agreement, contain the entire agreement of the Parties with respect to the subject matter hereof and supersede all prior negotiations, understandings, agreements and representations, whether written or oral, relating thereto. No modifications, amendments, novations, waivers, or extensions of the terms of this Agreement or the Original Lease Agreement shall be binding upon either Party, unless in writing and signed by both Parties.
