MANUFACTURING AND DISTRIBUTION AGREEMENT
This Manufacturing and Distribution Agreement (the "Agreement") is entered into this _____ day of ___________, 20___, by and between GreenTech Solutions Inc., a corporation organized and existing under the laws of the United States of America, with its principal place of business located at _____________________________________ ("Manufacturer"), and ____________________, a corporation organized and existing under the laws of the United States of America, with its principal place of business located at _______________________________________ ("Distributor").
1. DEFINITIONS
1.1. "Products"
shall mean the energy-efficient LED lighting products manufactured by Manufacturer and distributed by Distributor under this Agreement.
1.2. "Territory"
shall mean the American market and associated retail chains and wholesalers, as defined in the Distribution Plan.
2. APPOINTMENT
Manufacturer hereby appoints Distributor, and Distributor accepts such appointment, as the exclusive authorized distributor of the Products within the Territory during the term of this Agreement.
3. MANUFACTURING
3.1. Production and Supply of Products
Manufacturer shall manufacture, package, and supply the Products in accordance with this Agreement and the mutually agreed upon specifications at the costs agreed between Manufacturer and Distributor.
4. DISTRIBUTION
4.1. Distribution Plan
Distributor shall develop, maintain, and implement an appropriate Distribution Plan for the Products in the Territory.
4.2. Sales Targets and Performance
Distributor shall use its best efforts to promote the Products and maximize sales in the Territory, consistent with the Distribution Plan and any mutually agreed-upon performance targets and key performance indicators (KPIs).
4.3. Compliance with Laws
Distributor shall comply with all federal, state, and local laws, regulations, and ordinances that apply to distributing and selling the Products in the Territory.
5. PRICING
5.1. Product Pricing
Manufacturer shall provide Distributor with a price list for the Products, which shall include Manufacturer's suggested retail prices ("MSRP") and recommended wholesale prices.
5.2. Changes in Pricing
Manufacturer may change the prices of the Products from time to time, provided that Manufacturer provides Distributor with written notice of any such changes at least ninety (90) days prior to the effective date of such change.
6. PAYMENT
6.1. Payment Terms
Distributor shall pay Manufacturer for the Products in accordance with the payment terms and conditions agreed between Manufacturer and Distributor.
7. WARRANTIES AND LIMITATIONS OF LIABILITY
7.1. Warranties
Manufacturer warrants to Distributor that the Products shall be free from defects in workmanship and material under normal use and service for a period of twelve (12) months from the date of shipment.
7.2. Limitation of Liability
In no event shall Manufacturer's total liability to Distributor or any third party for any loss or damage relating to this Agreement or the Products exceed the amount paid by Distributor to Manufacturer for the Products over the prior twelve (12) months. In no event shall Manufacturer be liable for any indirect, consequential, special, punitive, or exemplary damages.
8. TERM AND TERMINATION
8.1. Term
This Agreement shall commence on the Effective Date and shall continue for an initial term of two (2) years, and shall automatically renew for successive one (1) year periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the expiration of the then-current term.
8.2. Termination for Cause
Either party may terminate this Agreement upon written notice if the other party breaches any material term or condition of this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.
9. GENERAL PROVISIONS
9.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States of America and the State of __________, without reference to its conflicts of law provisions.
9.2. Entire Agreement
This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, between the parties with respect to such subject matter.
9.3. Amendments
This Agreement may be amended, supplemented, or modified only by a written instrument signed by the parties hereto.
