MOBILE APP DEVELOPMENT AGREEMENT

1. PROJECT SCOPE AND DESCRIPTION

Developer agrees to design, create, and deliver a fully functional mobile application named "TravelCompanion" ("App"), which shall be designed to streamline travel planning and management, such as itinerary management, flight booking, accommodation reservations, and local activity recommendations for travelers ("Services").
2. APP FEATURES AND FUNCTIONALITIES
2.1. Detailed Features
The App shall include, but not be limited to, the following features and functionalities:
- Itinerary Management: Allow users to create, view, edit, and manage travel itineraries with the in-app calendar and scheduling tools.
- Flight Booking: Integration of flight booking systems to allow users to search, compare, and book flights within the App.
- Accommodation Reservations: Integration of accommodation booking systems to allow users to search, compare, and reserve accommodations within the App.
- Local Activity Recommendations: Provision of personalized local activity recommendations based on user's preferences, including attractions, events, and dining.
- Notification System: In-app notifications for flight, accommodation, and activity-related updates and reminders.
- User Account Creation and Management: User registration, login and management of personal preferences and settings.
3. PROJECT MILESTONES AND TIMELINE
3.1. Milestones
The Developer shall complete the App development according to the following milestones:

5.1. Ownership of Developed App
The Developer agrees that, subject to full payment of all amounts due under this Agreement, all deliverables, including but not limited to, the source code, designs, and graphics of the App, shall be deemed "work made for hire" under the U.S. Copyright Act, and the Client, as the author, shall own all intellectual property rights in the App.
6. CONFIDENTIALITY
6.1. Non-Disclosure
Both parties agree not to disclose to any third party any confidential or proprietary information obtained during the term of this Agreement, which includes, but is not limited to, software codes, designs, graphics, business plans, and marketing strategies, without the express written consent of the other party.
7. GOVERNING LAW AND COMPLIANCE
7.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States and the State of [state], without regard to its conflicts of laws provisions.
8. TERMINATION
8.1. Termination for Convenience
Either party may terminate this Agreement for any reason upon thirty (30) days' written notice to the other party. In the event of such termination, the Client shall pay the Developer for all Services satisfactorily completed up to the date of termination.
