Model Release Form

1. Introduction

This Model Release Form ("Agreement") is entered into as of the last date of signatures below ("Effective Date") by and between CaptureMagic Studios, a United States company ("Photographer"), and the undersigned, an individual ("Model"). Photographer and Model may be referred to herein collectively as the "Parties" or individually as a "Party."

2. Grant of Rights

2.1. Release and License

In consideration of the Compensation as defined below, Model hereby grants to Photographer, its successors, assigns, licensees, agents, and representatives (collectively, "Authorized Persons") the irrevocable, perpetual, worldwide, royalty-free right, license, and permission to use, reproduce, publicly display, distribute, transmit, sublicense, create derivative works from, and otherwise exploit any and all photographs, videos, or other visual representations of Model taken or created by or on behalf of Photographer in connection with the photo shoot or video session described in Exhibit A ("Images") in any media now known or hereafter devised (collectively, "Media"), for any commercial or non-commercial purpose whatsoever, including, without limitation, advertising, marketing, promotional, and informational purposes (collectively, "Permitted Uses").

2.2. Name and Likeness

Model further grants to Authorized Persons the right to use Model’s name, nickname, likeness, image, voice, signature, appearance, and other identifying information, as well as any biographical material provided by Model or derived from the Images, in connection with the Permitted Uses named in 2.1.

3. Compensation and Credit

3.1. Compensation

In consideration of Model's execution and delivery of this Agreement and the rights and licenses granted herein, Photographer shall pay Model a pre-determined fee as agreed by the Parties and noted in Exhibit A. Such payment shall be made within thirty (30) days of completion of the photo shoot or video session, provided that Model has provided Photographer with all required tax and payment information, if applicable.

3.2. Credit

Photographer will use reasonable efforts to provide Model with a credit in the form of "Model: [Model's Name]" or such other form as agreed by the Parties in written or electronic materials where Images are published, subject to any third-party restrictions or requirements.

4. Model Release

Model represents and warrants that: (i) Model is at least 18 years of age on the date of signing this Agreement, (ii) no other party has any right, claim, or interest, contractual or otherwise, in or to the rights granted herein, and (iii) Model has the full right, power, and authority to enter into this Agreement and to grant the rights, licenses, and permissions granted herein without the need for any third-party consents or releases. Model further indemnifies Photographer and Authorized Persons from and against any and all losses, liabilities, claims, damages, expenses, and costs (including reasonable attorneys' fees) arising from any breach of the representations and warranties set forth in this section.

5. Intellectual Property

Model acknowledges and agrees that any and all rights, including copyright, trademark, and other intellectual property rights, in and to the Images, any derivative works, and any materials incorporating the Images, shall be the sole and exclusive property of the Photographer.

6. Confidentiality

Model agrees to keep the existence of, terms of, and any information or materials related to this Agreement and the Images confidential and not to disclose or discuss any such matters with any third party without the prior written consent of Photographer, except as may be required by law.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the United States. Any disputes arising from or relating to this Agreement shall be resolved by a court of competent jurisdiction located in the United States.

8. Miscellaneous

This Agreement, together with Exhibit A, constitutes the entire understanding and agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. This Agreement may be amended, modified, or waived only by a written instrument signed by both Parties. No term, condition, covenant, or representation of a Party, and no breach thereof, shall be waived by any act, omission, or knowledge of a Party, except by a written instrument signed by the waiving Party. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors, assigns, heirs, and personal representatives.
