This Product Development Agreement (the "Agreement") is made and effective as of [DATE], by and between Innovate Tech Solutions ("InnovateTech"), a [STATE] corporation, and Global Logistics Inc. ("Global Logistics"), a [STATE] corporation (collectively, the "Parties").
1. Purpose and Description of Project
1.1. Purpose
The purpose of this Agreement is to establish the terms and conditions under which InnovateTech will provide development services to Global Logistics for the creation, customization, and implementation of a custom software solution known as "LogiConnect Pro."
1.2. Project Overview and Description
LogiConnect Pro (the "Product") is a comprehensive software solution designed to optimize and streamline the operations of Global Logistics, including features for real-time shipment tracking, inventory management, order processing, and data analytics. The Product also includes a web-based platform and mobile applications for the efficient management of Global Logistics' supply chain and logistics operations.
2. Project Stages
2.1. Project Initiation and Planning
In this stage, the Parties will collaborate on scoping the project, identifying goals and objectives, establishing a project timeline, and creating a detailed work plan.
2.2. Design and Development
In this stage, InnovateTech will commence the design and development of the Product according to the agreed-upon specifications, integrating existing systems and processes as necessary to meet Global Logistics' unique operational needs. The scope may be adjusted upon mutual written agreement between the Parties.
2.3. Testing and Quality Assurance
In this stage, the Product will undergo thorough testing and quality assurance measures, including, but not limited to, functionality testing, performance testing, and any required debugging or modification. Global Logistics will provide feedback on the testing results, and InnovateTech will address any issues or concerns prior to deployment.
2.4. Deployment and Implementation
In this stage, InnovateTech will deploy, launch, and integrate the fully functional and field-tested Product into Global Logistics' existing systems, infrastructure, and processes as per the agreed requirements.
2.5. Maintenance and Support
In this stage, InnovateTech will provide ongoing maintenance, updates, and support for the Product as defined in the "Support and Maintenance" section of this Agreement.
3. Responsibilities
3.1. InnovateTech's Responsibilities
InnovateTech shall be responsible for providing all necessary development services, including design, coding, testing, debugging, and implementation to create a high-quality, fully functional Product according to the agreed specifications and project timeline. InnovateTech shall also provide post-launch maintenance and support services per this Agreement.
3.2. Global Logistics' Responsibilities
Global Logistics shall provide business requirements, desired functionalities, specifications, testing environment, and reasonable access to data, systems, and resources necessary for the completion of this project. Global Logistics shall also facilitate regular communication with InnovateTech and actively participate in all project stages, providing timely feedback and approvals.
4. Testing
Global Logistics shall provide necessary facilities, equipment, and personnel to assess the performance and functionality of the Product per the agreed-upon specifications and requirements. InnovateTech and Global Logistics shall jointly review any defects or discrepancies identified during the testing process and agree on a plan for resolution. Each party shall bear its own costs and expenses incurred in connection with the testing process.
5. Intellectual Property Ownership
5.1. Ownership
Subject to the payment terms of this Agreement, and upon the final payment and satisfaction of all obligations set forth herein, InnovateTech hereby irrevocably and unconditionally assigns and transfers to Global Logistics all right, title, and interest in and to the Product, including all worldwide copyrights, patents, trade secrets, and other intellectual property rights therein. Global Logistics shall be the sole and exclusive owner of the Product and all associated Intellectual Property Rights.
5.2. License-Back to InnovateTech
Global Logistics grants to InnovateTech a non-exclusive, royalty-free, revocable, worldwide, sublicensable license to use, reproduce, modify, and distribute the Product for internal business operations and product development purposes, provided that such use does not directly compete with Global Logistics or compromise the confidentiality of Global Logistics' proprietary information.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law principles. The Parties agree that any litigation arising out of this Agreement shall be subject to the jurisdiction of the appropriate federal or state court located in the State of [STATE].
