Service Subscription Renewal Agreement

1. Parties and Background

This Service Subscription Renewal Agreement (the "Agreement") is entered into effective as of [Date] (the "Effective Date") by and between StarLink Communications, Inc., a corporation duly organized and existing under the laws of the United States, having an office at [Address] ("Provider"), and TechConnect Solutions, LLC, a limited liability company duly organized and existing under the laws of the United States, having an office at 123 Main Street, Anytown, USA ("Subscriber").

2. Renewal of Subscription

2.1. Renewal Term

Subject to the terms of this Agreement, the Subscriber agrees to renew its subscription for high-speed internet and telecommunication services (the "Services") from the Provider for an additional term of twelve (12) months, commencing on the expiration of the current term (the "Renewal Term").

2.2. Renewal Notice

Subscriber shall provide Provider with at least thirty (30) days written notice (the "Renewal Notice") of its intention to renew the subscription, prior to the expiration of the current term. The Renewal Notice shall specify Subscriber's intention to renew and any changes to the Services requested by Subscriber.

3. Subscription Fees and Payment Terms

3.1. Subscription Fees

During the Renewal Term, Subscriber shall pay to Provider subscription fees (the "Subscription Fees") in the total amount of [Amount in words] USD (US Dollars) ([Amount in figures] USD), payable in equal monthly installments.

3.2. Payment Terms

Subscriber shall pay the Subscription Fees to Provider within fifteen (15) days from the date of receipt of Provider's invoice. All payments shall be made in US Dollars and shall be free and clear of any taxes, duties, levies, or charges of any nature whatsoever.

3.3. Late Payments

If Subscriber fails to pay any Subscription Fees when due, Provider may charge Subscriber interest on the overdue amount at the rate of 1.5% per month, or the highest rate permitted by law, whichever is lower, calculated daily and compounded monthly from the due date until the date of payment.

4. Service Changes

4.1. Request for Service Changes

Subscriber may request changes to the Services by providing a written request to Provider detailing the desired changes. Provider shall review the requested changes and provide Subscriber with a written response, including any proposed adjustments to the Subscription Fees and relevant terms of this Agreement, within fifteen (15) days of receipt of Subscriber's request.

4.2. Agreement to Service Changes

Upon mutual written agreement to any proposed changes to the Services and any associated adjustments to the Subscription Fees or other relevant terms, the parties shall execute a written amendment to this Agreement reflecting the agreed-upon changes. The amendment shall be binding upon the parties and form part of this Agreement.

5. Governing Law and Dispute Resolution

5.1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without giving effect to any choice of law or conflict of law provisions or rules that would cause the application of the laws of any other jurisdiction.

5.2. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute within thirty (30) days of the commencement of negotiations, either party may submit the dispute for settlement by binding arbitration, to be conducted in accordance with the then-current rules of the American Arbitration Association. The arbitration shall be held in a location mutually agreed upon by the parties, or, in the absence of agreement, in a location determined by the arbitrator.

6. Miscellaneous

6.1. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, concerning the subject matter hereof. This Agreement may not be amended or modified except in writing signed by both parties.

6.2. Severability

If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be deemed severed from this Agreement and the remaining provisions shall remain in full force and effect.

6.3. Notices

All notices, requests, and other communications under this Agreement must be in writing and shall be deemed to have been duly given when received by the intended recipient, if delivered personally, by registered or certified mail (return receipt requested), by a nationally recognized overnight courier service, or by email with confirmation of receipt, addressed to the parties at their respective addresses set forth in this Agreement or at such other addresses as the parties may designate by written notice to the other party.

6.4. Counterparts

This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
