Website Development Agreement Defines terms for creating and maintaining websites, including project scope, development timeline, and payment terms.
1.1. Website Development
Developer agrees to design, develop, and launch a fully functional website for the Client, to be known as "FreshEatsOnline.com" (hereinafter the "Website"). The purpose of the Website is to promote Client's business and allow customers to place orders for food items online. The Website will include, at a minimum, the following features: responsive design, online menu, shopping cart functionality, order management system, customer account creation, payment processing, and search engine optimization.
1.2. Technical Specifications
Developer shall provide Client with detailed technical specifications for the Website, which shall include website layout, database schemas, application architecture, and other relevant technical information. Developer shall obtain Client's written approval of the technical specifications before commencing development of the Website.
2.1. Project Schedule
Developer agrees to complete the design, development, testing, and launch of the Website within a period of sixty (60) days from the date of execution of this Agreement, provided Client submits all required information and material to Developer in a timely manner. Developer shall provide Client with a project schedule outlining key milestones and deliverables, which shall be subject to Client's approval.
2.2. Delays
If Developer is unable to meet any deadline or is delayed by unforeseen circumstances outside its control, Developer shall promptly notify Client and propose a revised timeline for completing the relevant milestone or deliverable. The parties shall negotiate in good faith to agree upon an acceptable revised schedule.
3.1. Project Fee
Client agrees to pay Developer a total fee of $15,000 for the design, development, and launch of the Website (the "Project Fee"), which shall be paid in the following installments:
3.2. Additional Services
Any additional services not specified in the Project Scope, such as website maintenance, updates, or changes beyond the agreed-upon scope, shall be billed on a time and materials basis at Developer's then-current hourly rate, subject to Client's written approval.
4.1. Warranty Period
Developer warrants that the Website will function in accordance with the specifications and requirements defined in the Project Scope for a period of sixty (60) days from the date of launch (the "Warranty Period"). During the Warranty Period, Developer shall promptly correct any defects or errors in the Website at no additional cost to Client.
4.2. Maintenance and Support Services
Upon expiration of the Warranty Period, Developer shall provide Client with an optional website maintenance and support agreement detailing the scope, terms, and fees for ongoing maintenance, updates, and support services. The parties may enter into such agreement upon mutually acceptable terms.
5.1. Ownership
Upon receipt of full payment of the Project Fee, Developer assigns to Client all right, title, and interest in and to the Website, including all intellectual property rights therein, subject to any third-party licenses, open source components, or other pre-existing rights that have been disclosed to the Client. Developer shall provide Client with any necessary licenses for the use of third-party software or assets included in the Website.
6.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United States, without giving effect to its conflicts of laws principles.
6.2. Dispute Resolution
Any disputes arising out of or in connection with this Agreement shall be initially resolved through good faith negotiations between the parties. If the parties are unable to resolve a dispute through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
7.1. Entire Agreement
This Agreement constitutes the entire understanding of the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings between the parties, whether oral or written.
7.2. Amendments
No amendment or modification to this Agreement shall be effective unless made in writing and signed by both parties.
